Terms and Conditions of Use

1. Definitions

For the purposes of these Terms:

• Application / FolioCore: the native macOS software application developed by StrategicaMente, including its code, interface, integrated artificial intelligence models, documentation and subsequent updates.
• User: the natural or legal person who downloads, installs or uses the Application.
• Consumer: a User who is a natural person acting for purposes unrelated to any business, commercial, craft or professional activity, within the meaning of Italian Legislative Decree 206/2005 ("Consumer Code").
• App Store / Mac App Store: the digital distribution platform operated by Apple Inc. and its subsidiaries.
• Light Version: the free usage mode of the Application, subject to functional limitations.
• Full Version / Purchase: the unlocking of full functionality through a one-time purchase (in-app purchase), with no recurring subscription.
• User Content: the documents, contracts, files and related metadata to which the User applies the Application's functions, which remain on the User's device.

2. Subject matter and acceptance

2.1 These Terms constitute a binding agreement between the User and StrategicaMente concerning the grant of a license to use the Application under the conditions set out herein.

2.2 The Terms are accepted by downloading, installing or first using the Application. In the case of purchase through the Mac App Store, the Apple terms referred to in Section 13 also apply.

2.3 StrategicaMente reserves the right to amend these Terms as provided in Section 14.

3. Grant of license

3.1 Subject to compliance with these Terms, StrategicaMente grants the User a personal, limited, non-exclusive, non-transferable, non-sublicensable and revocable license to use the Application on Apple devices owned or controlled by the User, in accordance with the App Store Usage Rules and applicable law.

3.2 The license covers the use of the Application in object-code form and does not entail any transfer of ownership. All rights not expressly granted are reserved to StrategicaMente and the respective rights holders.

4. Usage restrictions

4.1 The User shall not, except to the extent mandatorily permitted by law:

• a) copy, reproduce, distribute, rent, lease, lend, sell, sublicense or otherwise commercialize the Application;
• b) decompile, disassemble, reverse engineer or otherwise attempt to derive the source code, except within the limits permitted by Article 64-quater of Italian Law 633/1941;
• c) modify, adapt, translate or create derivative works from the Application;
• d) remove, alter or obscure copyright notices, trademarks or other proprietary notices;
• e) use the Application for unlawful or fraudulent purposes or in violation of third-party rights;
• f) circumvent, disable or interfere with security measures or the functional limitations of the Light Version.

4.2 The User is solely responsible for the use of the Application and for the lawfulness of the User Content processed.

5. Operation, local processing and User Content

5.1 FolioCore performs document indexing, semantic search and analysis locally on the User's device, by means of Apple frameworks (CoreML / Apple Neural Engine) and the third-party components listed in Section 12. In local modes, no document is transmitted to StrategicaMente servers or to third parties.

5.2 Should the User optionally enable functions that rely on external third-party endpoints (e.g. remote LLM services configured by the User), the relevant data will be processed under the terms and privacy policies of such third parties, under the User's sole responsibility. Any API keys are stored in the macOS Keychain.

5.3 User Content remains the property and within the exclusive control of the User. StrategicaMente claims no rights therein. The User must keep backup copies of their files: the Application operates on files and metadata (including XMP metadata), and the User acknowledges that any file operation is carried out at their own risk.

5.4 The Application integrates llama.cpp (see Section 12) as the local inference engine for AI language models running on the User's device. The User may optionally download the Gemma 4 12B or Gemma 4 E4B (Q4) models, provided by Google LLC / Google DeepMind, to enable additional features such as conversational document querying and intelligent analysis. For semantic search, FolioCore uses the Qwen3 Embedding 0.6B model, provided by Alibaba (Qwen Team). These models are downloaded, stored and executed exclusively on the User's device; no data is transmitted to Google, Alibaba or other third parties during local inference. By choosing to download the Gemma models, the User accepts the Gemma Terms of Use issued by Google LLC.

6. Light Version, purchases and prices

6.1 The Application is offered in a free Light Version with functional limitations (by way of example, the maximum number of documents that can be analyzed and of assisted operations per session).

6.2 Full functionality can be unlocked through a one-time purchase (in-app purchase), with no recurring subscription. Prices, any promotional offers and their deadlines are those shown in the Application and/or on the Mac App Store at the time of purchase.

6.3 Purchases made through the Mac App Store are handled by Apple; billing, payment, refunds and transaction-related support are subject to Apple's terms. Refund requests follow App Store procedures.

7. Consumer right of withdrawal

7.1 As this is a supply of digital content not provided on a tangible medium, the Consumer acknowledges that, pursuant to Articles 52 and 59(o) of the Italian Consumer Code, the right of withdrawal does not apply once performance has begun with the Consumer's prior express consent and acknowledgment of the loss of the right of withdrawal. For App Store purchases, Apple's refund policies apply in any case.

8. Intellectual property

8.1 The Application, the "FolioCore" trademark, the logos, interfaces, code, structure, documentation and any other element, with the exception of the third-party components referred to in Section 12, are the exclusive property of StrategicaMente or its licensors and are protected by copyright, trademark and intellectual property laws.

8.2 These Terms grant the User no rights to the trademarks, trade names or distinctive signs of StrategicaMente or of third parties.

9. Disclaimer of warranties

9.1 To the maximum extent permitted by applicable law, the Application is provided "AS IS" and "AS AVAILABLE", with all faults and without warranty of any kind, whether express or implied, including, by way of example and without limitation, warranties of merchantability, fitness for a particular purpose, accuracy, reliability, continuity, freedom from errors or interruptions, and non-infringement of third-party rights.

9.2 StrategicaMente does not warrant that the Application will meet the User's specific requirements, that it will operate without interruption or error, or that the results of the artificial intelligence functions (indexing, semantic search, checklist matching, extraction, generated descriptions) will be accurate, complete, relevant or error-free. Such results are merely an aid and must be verified by the User.

9.3 The mandatory legal guarantee of conformity provided for by Articles 128 et seq. of the Italian Consumer Code remains unaffected with respect to the Consumer, where applicable.

10. Limitation and exclusion of liability

10.1 To the maximum extent permitted by applicable law, StrategicaMente, its directors, shareholders, employees, collaborators, suppliers and licensors shall in no event be liable for any indirect, incidental, special, consequential, punitive or exemplary damages of any nature whatsoever, including, by way of example and without limitation:

• loss of profits, lost earnings or lost savings;
• loss of revenue, customers, goodwill or business opportunities;
• loss, damage, alteration or corruption of data, files, documents, metadata or indexes;
• business interruption, downtime or cost of substitute services;
• reputational or non-pecuniary damages,

arising out of or in any way connected with the use of or inability to use the Application, the results produced by its functions (including the artificial intelligence functions), malfunctions, errors, bugs, data loss, incompatibility, or operations on files and metadata, even if StrategicaMente had been advised of the possibility of such damages and regardless of the legal basis (contract, tort, strict liability or otherwise) on which the claim is based.

10.2 In any event, should any liability of StrategicaMente be established and not be excludable by law, the total and cumulative liability of StrategicaMente for any claim relating to the Application shall be limited to the amount actually paid by the User for the purchase of the Application in the twelve (12) months preceding the event giving rise to liability or, in the absence of any payment (Light Version), to EUR 50.00 (fifty).

10.3 The exclusions and limitations under this Section apply to the maximum extent permitted by law. Nothing in these Terms excludes or limits StrategicaMente's liability for willful misconduct or gross negligence, for personal injury, or in cases where such exclusion or limitation is prohibited by mandatory consumer-protection provisions. Where applicable law does not allow the exclusion or limitation of certain damages, the above exclusions and limitations shall apply to the maximum extent permitted by such law.

10.4 The User acknowledges that the above limitations of liability are an essential element of the economic balance of this agreement and that, in their absence, the economic conditions of the Application (including the availability of a free Light Version) would have been different.

11. Indemnification

11.1 A User who does not act as a Consumer undertakes to indemnify and hold StrategicaMente harmless from any claim, action, cost, damage or expense (including reasonable legal fees) arising from use of the Application in breach of these Terms, of the law or of third-party rights.

12. Third-party software and licenses

12.1 The Application incorporates or relies on third-party software components, libraries, models and frameworks, each subject to its own license. Use of the Application also implies acceptance of such licenses. The main components are:

12.2 The names, trademarks and logos of third-party products belong to their respective owners. The full texts of the applicable licenses are available from the official sources of the respective owners and, where required, are reproduced or referenced within the Application or its accompanying documentation.

12.3 StrategicaMente makes no warranty and assumes no liability in relation to the third-party components, without prejudice to the provisions of their respective licenses. In particular, the Qwen3 Embedder model and the other components are provided by their respective owners "as is", without warranty, under the terms of their licenses.

13. Mac App Store and Apple terms

13.1 Where the Application is downloaded or purchased through the Mac App Store, the User acknowledges and agrees that these Terms are concluded solely between the User and StrategicaMente, and not with Apple Inc. ("Apple"). StrategicaMente, and not Apple, is solely responsible for the Application and its content.

13.2 The license granted is limited to a non-transferable license to use the Application on Apple devices owned or controlled by the User, in accordance with the Usage Rules set out in the Apple App Store Terms of Service. To the extent these Terms are less restrictive than Apple's Usage Rules, the latter shall prevail.

13.3 Apple has no obligation to provide any maintenance or support services in respect of the Application. Any support requests should be addressed to StrategicaMente at support@foliocore.pro.

13.4 To the extent permitted by law, Apple shall not be responsible for any claims of the User or of third parties relating to the Application, including by way of example: (i) product liability claims; (ii) claims of non-compliance with legal or regulatory requirements; (iii) consumer-protection or privacy claims; (iv) claims of infringement of third-party intellectual property rights. The handling of such claims is the responsibility of StrategicaMente.

13.5 The User represents that they are not located in a country subject to a U.S. Government embargo or designated as a "terrorist-supporting" country, and that they are not listed on any prohibited or restricted-party list.

13.6 Apple and its subsidiaries are third-party beneficiaries of these Terms and, upon the User's acceptance of these Terms, will have the right (and will be deemed to have accepted the right) to enforce these Terms against the User as a third-party beneficiary.

14. Updates and amendments

14.1 StrategicaMente may release updates, fixes or new versions of the Application. Some updates may be necessary for proper operation. These Terms also apply to updates, unless such updates are accompanied by specific terms.

14.2 StrategicaMente reserves the right to amend these Terms for regulatory, technical or commercial reasons. The updated version will be published on www.foliocore.pro indicating its effective date. Continued use of the Application after the amendments take effect constitutes acceptance thereof, without prejudice to the Consumer's mandatory rights.

15. Term and termination

15.1 These Terms remain in effect until terminated. The license terminates automatically, without notice, in the event of a material breach of the Terms by the User.

15.2 Upon termination, the User must cease all use of the Application and remove it from their devices. Provisions which by their nature are intended to survive (in particular Sections 8, 9, 10, 11, 12, 16 and 17) remain in effect after termination.

16. Governing law and jurisdiction

16.1 These Terms are governed by and construed exclusively in accordance with Italian law, excluding its conflict-of-laws rules and the 1980 Vienna Convention on the International Sale of Goods.

16.2 Any dispute arising out of or connected with these Terms shall be subject to the exclusive jurisdiction of the Court of Reggio Emilia.

16.3 It is understood that, where the User qualifies as a Consumer, the exclusive and mandatory jurisdiction shall be that of the place of residence or elected domicile of the Consumer, where mandatorily provided by Article 66-bis of the Italian Consumer Code, and the mandatory provisions more favorable to the Consumer provided by the law of their country of residence in the European Union shall apply.

17. Final provisions

17.1 Entire agreement. These Terms, together with the Privacy Policy and any specific purchase conditions, constitute the entire agreement between the User and StrategicaMente regarding the Application and supersede any prior understanding.

17.2 Severability. The invalidity, nullity or ineffectiveness of one or more clauses shall not affect the validity of the remaining provisions. The invalid clause shall be replaced, where possible, by a valid provision achieving to the greatest extent permitted the intended economic and legal purpose.

17.3 Waiver. Any tolerance by StrategicaMente of User conduct in breach of the Terms does not constitute a waiver of the rights arising from the breached provisions.

17.4 Assignment. The User may not assign or transfer their rights or obligations under these Terms without the prior written consent of StrategicaMente. StrategicaMente may assign these Terms in the context of corporate transactions or business transfers, giving notice to the User.

17.5 Language. These Terms are drawn up in Italian, English and Spanish. In the event of discrepancy or conflict of interpretation, the Italian version prevails.
